KUALA LUMPUR, Malaysia & HONG KONG, China – Key ASIC Berhad (Bursa Malaysia Main Board: 0143.KL), a leading Malaysian semiconductor and energy-efficient ASIC design specialist, and CT Vision (International) Holdings Limited (Hong Kong Stock Exchange Main Board: 0994.HK), an international investment and green technology group, today jointly announced the signing of a Memorandum of Understanding (MOU) for a strategic partnership to develop a large-scale, fully integrated Green AI Data Centre (AIDC) Complex in Malaysia — including the construction, ownership and operation of dedicated renewable energy generation facilities to power the AIDC entirely.

Comprehensive Project Scope

The partnership aims to deliver an end-to-end sustainable AI infrastructure ecosystem, integrating dedicated green energy generation to support the power requirements of the AIDC campus:

• Integrated Green Energy Generation: The Project will encompass the design, construction, ownership and operation of on-site and associated renewable energy assets, including solar, wind and other complementary clean energy sources, to provide reliable, low-carbon electricity directly to the data centre. This integrated model enables dedicated clean energy generation to support the AIDC’s operations.
• High-Performance AIDC Capacity: Planned total IT load of approximately 300 MW within five years from commercial launch, purpose-built for high-density AI/ML workloads, supercomputing and enterprise cloud services.
• Sustainability & Efficiency: Targeting 100% renewable energy penetration with ≥50% selfgenerated on-site/associated green power, and a Power Usage Effectiveness (PUE) ratio of ≤1.20, significantly exceeding global and regional sustainability benchmarks.
• Full-Stack Ecosystem: Unified value chain spanning renewable energy generation → transmission/distribution → AIDC design & construction → advanced AI compute deployment → ongoing operations & energy management.

MOU Framework & Next Steps

The signed MOU establishes an exclusive cooperation framework:

• Effective Clauses: Confidentiality (10-year term), intellectual property principles, representations and warranties, governing law and dispute resolution provisions are legally effective immediately.
• IP Principles: Background intellectual property remains with each party; project-specific IP developed by Key ASIC will be licensed to CT Vision on a perpetual, non-exclusive basis for project operations.
• Exclusive Period: Parties agree to good-faith negotiations and will not pursue competing arrangements that could prejudice the project during the evaluation period.
• Next Phase: Both parties will advance feasibility studies, site planning, detailed engineering and commercial structuring, with definitive comprehensive agreements targeted for execution by the end of 2026 Q4.
